These general terms and conditions apply to all brokerage services of Imperial Bridge Trade B.V. Version 1.0, October 2026.<\/p>\n

Definitions<\/h2>\n
    \n
  1. IBT:<\/strong> Imperial Bridge Trade B.V., registered in the Trade Register of the Netherlands Chamber of Commerce, user of these terms and conditions.<\/li>\n
  2. Client:<\/strong> the (legal) person acting in the course of a profession or business who requests IBT to establish a connection.<\/li>\n
  3. Partner:<\/strong> a supplier, manufacturer, contractor or service provider nominated by IBT or included in IBT\u2019s network.<\/li>\n
  4. Mandate:<\/strong> the written record of the engagement, its scope and IBT\u2019s fee.<\/li>\n
  5. Introduction:<\/strong> any act by which IBT brings a Client and a Partner into contact with each other, including the provision of details.<\/li>\n
  6. Brokerage fee:<\/strong> the fee agreed in the Mandate for IBT\u2019s services.<\/li>\n<\/ol>\n

    Applicability<\/h2>\n
      \n
    1. These terms and conditions apply to every enquiry, quotation, Mandate and agreement between IBT and a Client or Partner.<\/li>\n
    2. Deviations apply only if agreed in writing between the parties.<\/li>\n
    3. The applicability of any general terms and conditions of the Client or Partner is expressly rejected.<\/li>\n<\/ol>\n

      Nature of the services<\/h2>\n
        \n
      1. IBT acts solely as an intermediary. IBT does not perform any work itself, does not supply goods and is not a party to the agreement concluded between Client and Partner.<\/li>\n
      2. The execution, delivery, quality and performance of the agreement between Client and Partner are the full responsibility of those parties.<\/li>\n<\/ol>\n

        Formation of the mandate<\/h2>\n
          \n
        1. An enquiry via the website or otherwise is without obligation and does not oblige IBT to accept an engagement.<\/li>\n
        2. An engagement is formed at the moment the Mandate has been confirmed in writing by both parties.<\/li>\n<\/ol>\n

          Verification and best-efforts obligation<\/h2>\n
            \n
          1. IBT performs its services to the best of its knowledge and ability. IBT is bound by a best-efforts obligation, not an obligation of result.<\/li>\n
          2. Verification of Partners takes place on the basis of the information available at that time and documentation provided by Partners. IBT does not warrant its accuracy or completeness.<\/li>\n
          3. An Introduction does not constitute any guarantee as to the suitability, solvency or performance of a Partner.<\/li>\n<\/ol>\n

            Brokerage fee<\/h2>\n
              \n
            1. The amount and method of calculation of the Brokerage fee are set out in the Mandate.<\/li>\n
            2. The Brokerage fee is also payable if an agreement between the Client and a Partner introduced by IBT is concluded within the period stated in the Mandate following the Introduction.<\/li>\n
            3. Invoices are payable within fourteen days of the invoice date, unless otherwise agreed in writing.<\/li>\n<\/ol>\n

              Confidentiality<\/h2>\n
                \n
              1. The parties shall treat all information received from each other in the context of the brokerage as strictly confidential.<\/li>\n
              2. This obligation remains in force after termination of the engagement.<\/li>\n<\/ol>\n

                Non-circumvention<\/h2>\n
                  \n
                1. The Client and Partner are not permitted to bypass IBT by doing business directly, outside IBT, with a party introduced by IBT during the period stated in the Mandate.<\/li>\n
                2. In the event of a breach, the breaching party owes the Brokerage fee that IBT would have received had the agreement been concluded through IBT, without prejudice to IBT\u2019s right to full compensation.<\/li>\n<\/ol>\n

                  Liability<\/h2>\n
                    \n
                  1. IBT is not liable for any damage arising from the execution, delivery or non-performance by a Partner or Client.<\/li>\n
                  2. Any liability of IBT is limited to the amount of the Brokerage fee received under the relevant Mandate.<\/li>\n
                  3. IBT is never liable for indirect damage, including consequential loss, loss of profit and missed savings.<\/li>\n<\/ol>\n

                    Governing law and disputes<\/h2>\n
                      \n
                    1. All legal relationships with IBT are governed exclusively by Dutch law.<\/li>\n
                    2. Disputes shall be submitted to the competent court of the District Court of Rotterdam.<\/li>\n<\/ol>","protected":false},"excerpt":{"rendered":"
